Terms of Service

1. Eligibility and Authority

You represent that you are at least the age of majority in your jurisdiction and have the authority to enter into these Terms on behalf of yourself or your organization.

2. Use of the Services

Subject to these Terms, CX Toolbox grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.

• You must use the Services in compliance with applicable laws and regulations.
• You are responsible for maintaining the confidentiality of account credentials.
• You are responsible for activity occurring under your account.

3. Prohibited Conduct

• Reverse engineer, decompile, or attempt to discover source code except where legally permitted.
• Interfere with or disrupt the integrity or performance of the Services.
• Use the Services to transmit unlawful, infringing, or harmful content.
• Attempt unauthorized access to any system, network, or account.

4. Fees and Payment

If you purchase paid Services, you agree to pay all applicable fees according to the pricing and terms presented at the time of purchase or in your order form. Except as required by law or expressly stated otherwise, fees are non-refundable.

5. Intellectual Property

CX Toolbox and its licensors retain all right, title, and interest in and to the Services, including all related intellectual property rights. No rights are granted except as expressly stated in these Terms.

6. Customer Data

As between the parties, you retain ownership of your data. You grant CX Toolbox a limited right to use your data solely to provide, secure, and improve the Services and as otherwise permitted by applicable law and our agreements with you.

7. Confidentiality

Each party may receive confidential information from the other. The receiving party will use reasonable care to protect confidential information and will not disclose it except as permitted by these Terms or by law.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CX TOOLBOX DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CX TOOLBOX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES.

IN NO EVENT WILL CX TOOLBOX'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNTS PAID BY YOU TO CX TOOLBOX FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10. Indemnification

You agree to defend, indemnify, and hold harmless CX Toolbox from and against third-party claims, liabilities, damages, losses, and expenses arising from your use of the Services or violation of these Terms.

11. Term and Termination

These Terms remain in effect until terminated. We may suspend or terminate access to the Services if you violate these Terms or if required for legal, security, or operational reasons.

12. Governing Law

These Terms are governed by applicable laws of the jurisdiction specified in your order form or separate service agreement, without regard to conflict of law principles.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms and revise the "Last updated" date above.

14. Third-party trademarks and no affiliation

CX Toolbox is an independent company and is not affiliated with, endorsed by, sponsored by, certified by, or otherwise officially connected with Kustomer, Inc. or any of its parents, subsidiaries, or affiliates. Nothing in the Services, our website, or our communications should be understood as suggesting that Kustomer approves, authorizes, or partners with CX Toolbox, unless we have stated that in writing and it is true at the time of the statement.

References on the Services to “Kustomer” or other third-party products or services are used solely to describe interoperability or compatibility and to identify the relevant third-party platform. All trademarks, service marks, trade names, and logos are the property of their respective owners. Use of a third-party name does not imply any affiliation with or endorsement by that third party.
